OCTEL PC PRODUCTS DIVISION (OPcPD)

The Octel PC Products Division (OPcPD -- formerly Compass Technology) designs, manufactures, and markets Compass voice and fax information processing solutions. Users of OPcPD's products can access, manage, and disseminate information (i.e., voice and fax) from any touch-tone telephone. Its products include the Smooth Operator family, CoOperator, and the Compass Enhanced Office (CEO).

COMPANY INFORMATION

OPcPD is based in Sarasota, Florida. Founded in 1989, the company is a whollyowned subsidiary of Octel Communications (NASDQ:OCT'L) of Milpitas, CA, the world's largest provider of voice information processing systems and services. OPcPD boasts an international installed based of thousands, supported by an extensive network of authorized Dealers.

OPcPD SOLUTIONS

OPcPD's products are used in a wide variety of industries, including (but not limited to) health care, education, hospitality, legal, insurance, customer service, finance, and manufacturing.

Because the PC Products line is based on open-architecture personal computers running off-the-shelf operating systems (i.e., DOS and OS/2), system upgrades (such as total message capacity or the number of ports) are performed simply and inexpensively. OPcPD is a firm proponent of scalability, always providing product-to-product and release-to-release software upgrade paths that help users of its systems avoid technological obsolescence. All PC Products systems include Automated Attendant, Voice Mail, Audiotext, and a suite of sophisticated custom application development tools.

Products include:

COMPASS SMOOTH OPERATOR

OPcPD introduced Smooth Operator in 1989. Distinguished by its unique combination of power, sophistication, and affordability, the DOS-based system gained widespread approval, establishing the company as one of the industry's hottest successes.

Smooth Operator Lite, introduced in 1995, reinforced OPcPD's scalability message. The Lite family provides Smooth Operator's full functionality in packages priced to be accessible to small and emerging enterprises. As they grow and their messaging needs evolve, Lite customers can easily add ports, mailboxes, and/or optional modules without loss of system settings, custom phrases, or subscriber mailbox configurations, and without requiring time consuming and expensive retraining. Its power, functionality, and scalability make Smooth Operator Lite the greatest value in today's entry-level system market.

COMPASS COOPERATOR

CoOperator, introduced shortly after the release of Smooth Operator 3.1, was designed to meet the needs of organizations with up to 50 mailboxes. CoOperator, expandable from 4 to 8 phone ports, offers nearly all of Smooth Operator's automated attendant, voice mail, and audiotext functionality.

COMPASS ENHANCED OFFICE - CEO

In March of 1994, OPcPD carried PC-based voice processing to the next level with the introduction of the Compass Enhanced Office (CEO). Designed to serve businesses making the smart investment in information management technology, CEO is the platform upon which OPcPD is basing all future functionality. With enhancements already under development, including Visual Mailboxes, Interactive Voice Response (IVR), and connectivity, OPcPD customers will be able to receive and manipulate voice, fax, computer data, and information in other formats from a visual mailbox on their PC screens.

CEO runs under IBM's OS/2, a robust 32-bit operating system. Features like OS/2's ability to perform several portions of a single job at once (called &qout;multitasking") provide significant advantages over other operating systems in terms of system speed, responsiveness, and throughput.

In addition to its improved performance, CEO provides a crisper, cleaner user interface, speed and volume control, on-line reporting, and syntactically correct multilingual capabilities. The latter enables companies with CEO to offer their callers prompts in languages other than English, concatenated in accordance with those languages' rules of grammar and syntax. Intercom Redirect and Visual Voice Editor, both optional modules that had to be purchased separately in earlier products, are included in CEO.

OPcPD also offers a number of optional modules.

These include:

FAX RETRIEVAL

With the Fax Retrieval Module, a company, its individual departments, or even individual subscribers can offer callers the opportunity to receive faxed copies of documents archived in the system. Once requested (by number on the touch-tone keypad), documents are transmitted automatically, any time of day or night, to the fax machine of the caller's choice. Frequently requested documents, such as credit applications, new product announcements, and order forms are ideal candidates for Fax Retrieval.

FAXCOMM FAX MAIL

Subscribers can receive, manage, and disseminate faxes with all the same functionality as voice messages using the FaxComm Fax Mail Module. Using FaxComm in place of a fax machine yields important benefits in terms of economy, security, reliability, and accessibility.

AMIS INTERFACE MODULE(AIM)

Using the internationally recognized Audio Messaging Interchange Specification (AMIS), the AMIS Interface Module (AIM) enables OPcPD subscribers to exchange voice information with systems in satellite offices, vendor locations, or other remote sites. AIM also allows OPcPD systems to communicate freely with other AMIS-analog compatible products.

DISTRIBUTION

OPcPD products are sold exclusively through a national network of Authorized Dealers. To become an Authorized Dealer, a business must meet a stringent set of criteria, including proof of technical expertise and financial stability. Dealers send technical representatives to OPcPD's training facility for Certification. Authorized Dealers are backed by a staff of Regional Managers, Area Managers, Field Application Engineers, and in-house Dealer Service Reps, who provide a wide variety of sales support services.

AWARDS

Following their releases, the Compass Smooth Operator 3.2 and Compass CoOperator 1.1 each received prestigious product awards. Smooth Operator was picked for Voice Processing Magazine's 1993 Editor's Choice Award and CoOperator was named Teleconnect Magazine's 1993 Product of the Year.
